Upon using services provided by accessing and using the ‘ETS Industrial’ Site and the Other Media ("ETS services"), you agree to each of the terms and conditions set forth herein as followed ("Terms &Conditions").


1.    Orders

All orders are subject to acceptance in writing by ETS. Orders accepted by ETS may be cancelled by Customer upon written consent of ETS provided such order is not "NC/NR" or "Non-Cancelable/Non-Returnable", "Non-Standard Products" or governed by a Purchase Agreement Letter. Non-Standard Products are defined as Products that are special orders, custom orders, and orders for non-standard products, products not customarily in stock or orders for value-added products. Non-standard products are non-cancelable and non-refundable. In the event of cancellation or other withdrawal of an order for any reason, and without limiting any other remedy which ETS may have as a result of such cancellation or other withdrawal, reasonable cancellation or restocking charges shall include all expenses incurred and commitments made by ETS, and shall be paid by Customer to ETS. Customer requests to reschedule are subject to acceptance by ETS in its sole discretion. Orders may not be canceled or rescheduled after the order has been submitted by ETS to the shipment carrier. ETS reserves the right to allocate sales and limit quantities of selected Products among its customers in its sole discretion. Product specifications and availability are subject to change without prior notice.

 

 

2.  Prices

2.1 The prices of the Products and Services on ETS website are estimated and specified, pricing may be increased in the event that Customer requires additional work, which is beyond the scope of the estimate or the initial order or for any other causes beyond ETS’s reasonable control. Pricing for undelivered Products may be increased in the event of any increase in ETS’s costs, change in market conditions or any other causes beyond ETS’s reasonable control.

Price, quotations, unless otherwise stated, are valid on day of issue only, thereafter ETS may change them without notice.

2.2 Unless otherwise agreed to in writing by ETS, all prices quoted are exclusive of transportation and insurance costs, duties, and all taxes including, but not limited to Value Added Tax or Stamp Tax. Customer agrees to pay these taxes unless i) Customer has provided ETS with an exemption resale certificate in the appropriate form for the jurisdiction of Customer’s place of business and any jurisdiction to which Products are to be directly shipped hereunder, or unless the sale is otherwise exempt from these taxes; ii) ETS agrees in writing that the sale is exempted. Customer agrees to indemnify and hold ETS harmless for any liability for tax in connection with the sale, as well as the collection or withholding thereof, including penalties and interest thereon. When applicable, transportation and taxes shall appear as separate items on ETS’s invoice.

 

3.    Payment

All payments must be made in the currency billed on the original invoice.

The payment method can be chosen from the methods shown below:

TT in advance (bank transfer), Credit card, Paypal, Alipay, Western Union, Credit account (Net 30days) * Application required

Upon approval of credit account, ETS’s standard terms of payment are net thirty (30) days from the date of invoice unless otherwise specified in writing by ETS.  In addition, Customer will be deemed to have accepted an invoice upon the fifteenth (15th) day from the date of invoice and no further objections to the invoice will be permitted or accepted.  If ETS otherwise specifies in writing payment terms longer than thirty (30) days from the date of invoice, then: (i) the invoice will be deemed accepted upon the thirty (30th) day from the date of invoice and no further objections will be permitted or accepted; and (ii) Customer must certify within thirty (30) days from the date of invoice that payment has been submitted for processing. ETS may invoice each shipment separately and each shipment shall be considered a separate and individual contract. Customer agrees to pay ETS’s invoice in full without any deductions or set-off.

 

4.    Delivery

Customers can choose the shipping way when check out. You can select whether to charge customer's shipping account or to charge ETS shipping account by paying the prefixed cost at the time of order. Shipping charges shows on ETS's website are given per shipment on weights up to 2kgs. The exact freight amount will be calculated at the time the shipment is processed and will appear on your shipment notifications. All relevant shipping and tracking information, including airway bill numbers, is provided upon shipment of each purchase.

Customer acknowledges that delivery dates provided by ETS are estimates only and ETS shall not be liable for delays in delivery or for failure to perform due to events beyond the reasonable control of ETS nor shall the carrier be deemed an agent of ETS.

 

5.    Returns

5.1 Returns are normally accepted when completed within 30 days from date of shipment. This does not include items identified as "NCNR", "Non-Cancelable/Non-Returnable" ("Non-Standard Products"), CSP ("Customer Specific Product ").

5.2 Before customer return products to ETS, the Customer needs to certify that the products were purchased from ETS and there is no substitution in whole or part of the same product from another supplier, distributor or other such source of the product.

5.3 Product must be returned with original packaging and labeling to help our investigation and processing.

5.4 Returned products must be undamaged and be in the Original Manufacturers sealed Packaging or ETS sealed packaging to ensure that there has been no possibility of physical damage, Electrostatic Discharge Damage (ESD) or exposure to moisture (especially important on Dry Packed SMT products). ETS product labeling must be in place so that we have clear traceability to our original shipment.

5.5 If you receive damaged product with visible damage to external shipping containers, please report the damage to the carrier at the time of receipt. Please contact the ETS Sales Office with details of the damage.

5.6 Return Freight charges must be prepaid; we will not accept COD shipments.

 

6.    Limitation of Liability

In no event shall ETS be liable to you or to any third party for any indirect, incidental, special, consequential, punitive or exemplary damages (including without limitation lost profits, lost savings, or loss of business opportunity) , even if we have been advised of the possibility of such damages at this products. subject to the foregoing, in no event shall the liability of ETS relating in any way to any product exceed the purchase price for the product, regardless of the legal theory asserted for such liability, whether in contract, tort, warranty or otherwise.

 

7.    Force Majeure

ETS will not be liable for delays in delivery or for failure to perform its obligations due to causes beyond its reasonable control including, but not limited to, product allocations, material shortages, labor disputes, transportation delays, unforeseen circumstances, acts of God, acts or omissions of other parties, acts or omissions of civil or military authorities, Government priorities, fires, strikes, floods, severe weather conditions, computer interruptions, terrorism, epidemics, quarantine restrictions, riots or war. ETS's time for delivery or performance will be extended by the period of such delay or ETS may, at its option, cancel any order or remaining part thereof, without liability by giving notice to Customer.

 

8.    Export Control/Use of Products

The products sold by ETS and its subsidiaries or affiliates (collectively "ets-ind.com") are not intended for, and by ordering them you agree that they will not be used in, life support systems, human implantation, nuclear facilities or systems or any other application where product failure could lead to loss of life or catastrophic property damage. Customer certifies that it will be the recipient of Products to be delivered by ETS. Customer acknowledges that the Products are subject to the export and/or import control laws and regulations of various countries including the Export Administration Laws and Regulations of the United States. Customer agrees to comply strictly with all U.S. export laws and assume sole responsibility for obtaining licenses to export or re-export as may be required and acknowledges that it shall not directly or indirectly export any Products to any country to which such export or transmission is restricted or prohibited. Products sold by ETS cannot be transferred, sold or re-exported to any party on the Entity List or Restricted Person List of the U.S. Department of Commerce, Bureau of Industry and Security (BIS), any party designated by the U.S. Treasury Department’s Office of Foreign Assets Control, and any party debarred or sanctioned for proliferation or terrorism reasons by the U.S. State Department. Products sold by ETS are not designed, intended or authorized for use in life support, life sustaining, nuclear, or other applications in which the failure of such Products could reasonably be expected to result in personal injury, loss of life or catastrophic property damage. If you breach this agreement, you agree to indemnify ETS for and hold our harmless against any loss, cost or damage to ETS which arises or results from such breach.(1) Customer acknowledges that such use or sale is at Customer's sole risk; (2) Customer agrees that ETS and the manufacturer of the Products are not liable, in whole or in part, for any claim or damage arising from such use; and (3) Customer agrees to indemnify, defend and hold ETS and the manufacturer of the Products harmless from and against any and all claims, damages, losses, costs, expenses and liabilities arising out of or in connection with such use or sale.

ETS takes commercially reasonable steps to protect data, particularly financial information, transmitted through the Web Site. We use a variety of security technologies to protect a user’s Identifiable Information, including secure servers, firewalls, and encryption of credit card information.  Unfortunately, there is always a potential risk in sending information through any channel or retaining information on any storage device, and we cannot guarantee the security of any information you transmit over the Internet, including using the Web Site.

We will not be held responsible (1) for any unauthorized access or illegal or unauthorized use of information, including Identifiable Information, or (2) if user information, including Identifiable Information, is accessed through unauthorized or improper use of user account or login information or due to user failure to secure user username, password, or customer ID.

9.6 Personal Data of Children

We do not knowingly collect or solicit any information from anyone under the age of 13. In the event that we learn we have inadvertently collected personal information from a child under age 13, we will delete that information.

We may modify or update this policy from time to time to reflect the changes in our business and international compliance requirements. We encourage site users to review this Statement periodically.  We reserve the right (but are not required) to send a notice via email or any other delivery method of any such change to this Statement.
